DISCLOSURE OF INFORMATION – Under the common law of agency, an agent is obligated to act with the utmost good faith toward the principal and to fully disclose to the principal any and all information that might influence the principal’s decision while simultaneously protecting the principal’s personal information. Thus, a fiduciary must promptly disclose all facts that might affect the principal’s rights and interests.
ACCOUNTING – A fiduciary is obligated under the law of agency to maintain accurate records of all transactions and dealings involving the principal and to report to the principal all funds handled by the agent in which the principal has an interest.
